Terms of Service

These Terms of Service ("Terms") govern your access to and use of the GoLegally platform, including the website at golegal.ly, our products (Accounting Engine, FormEngine, Compliance Desk), APIs, and all related services provided by GoLegally Vadavision Private Limited (operating as "GoLegally", "we", "us").

By accessing or using GoLegally, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services

GoLegally provides AI-powered legal and compliance services for Indian businesses, including:

  • Company registration (Pvt Ltd, LLP, OPC, Section 8)
  • Tax registration and compliance (GST, DPIIT, PAN/TAN)
  • Intellectual property filing (trademarks, copyrights)
  • Annual compliance and MCA filings
  • Accounting, invoicing, and financial reporting (via Accounting Engine API)
  • Form management and document collection (via FormEngine API)
  • Free tools: tax calculators, company search, trademark search

2. Accounts

To use certain features, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate, current, and complete information.

Organizations on GoLegally are multi-tenant. Each organization has its own data, users, and billing. You may belong to multiple organizations.

3. Accuracy of Information

You are solely responsible for the accuracy and completeness of information you provide for government filings. GoLegally processes filings based on the information you submit. We verify documents for format and completeness, but we are not responsible for the accuracy of the underlying information.

Important: Government filing fees, stamp duty, and professional fees are clearly disclosed before you confirm any service. GoLegally does not charge hidden fees.

4. API & Platform Usage

API Access

Our products (Accounting Engine, FormEngine, Compliance Desk) expose REST APIs. API access is governed by your subscription plan. You agree to:

  • Keep your API keys and secret keys confidential
  • Not exceed published rate limits
  • Not use the API to build a competing product
  • Not share API keys with unauthorized third parties

Acceptable Use

You agree not to:

  • Use GoLegally for any unlawful purpose
  • Submit false or fraudulent filings
  • Attempt to gain unauthorized access to our systems
  • Scrape, crawl, or use automated tools to extract data (except via our published APIs)
  • Interfere with or disrupt the platform's operation

5. Pricing & Payments

Service fees are displayed at the time of order. All prices are in Indian Rupees (INR) and include applicable taxes unless stated otherwise. Government fees (stamp duty, MCA fees, trademark fees) are passed through at cost. We do not mark them up.

For API products, billing is based on your selected plan. Overages, if any, are billed at the end of the billing cycle at published overage rates.

6. Refunds & Cancellations

Before filing: If we have not yet submitted your filing to the government, you may cancel for a full refund of our service fee. Government fees already paid are non-refundable.

After filing: Once a filing is submitted to the government, service fees are non-refundable. If a filing is rejected due to our error, we will re-file at no additional cost.

7. Intellectual Property

GoLegally and its products, logos, content, and software are owned by Vadavision Private Limited and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our platform without prior written consent.

Your data remains yours. We do not claim ownership of data you submit. We use it only to provide and improve our services, as described in our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by law, GoLegally shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

GoLegally is a technology platform, not a law firm. We do not provide legal advice. For complex legal matters, we recommend consulting a qualified legal professional.

9. Indemnification

You agree to indemnify and hold harmless GoLegally, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the platform, your violation of these Terms, or your violation of any rights of a third party.

10. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. We may perform maintenance with reasonable notice. Government portal availability is outside our control — filing timelines depend on MCA, GST Network, and other government systems being operational.

11. Termination

You may close your account at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or fraudulent activity. Upon termination, your data will be retained for the legally required period and then deleted. You may request a data export before closure.

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chandigarh.

13. Changes to Terms

We may revise these Terms from time to time. Material changes will be communicated via email or a notice on the platform at least 30 days before they take effect. Your continued use after changes constitutes acceptance.
